Engram Terms of Sale

1. Seller and status

Engram is sold by LPJ AI Solutions, a pre-incorporation trading project operated jointly by Lara Morrison, Patrick Morrison and James O'Dowd from Boyle, Co. Roscommon, F52 AE04, Ireland. LPJ is not yet an incorporated limited company. We intend to form an Irish private company limited by shares; until incorporation and any formal contract transfer, the current sellers remain responsible.

2. Plans and price

Engram is trial-stage software offered as: Founding Access at €230 once, with a lasting licence to the supplied release; or Flex Access at €30 per month, with continuing access, standard updates and support while subscribed.

Before payment we confirm the selected plan, compatible client, setup scope, delivery, renewal terms, total payable price including any applicable tax, and separately priced custom work.

3. Contract and delivery

An enquiry or waitlist request is not a purchase. A contract forms only after we send written order confirmation and these terms in a durable form, confirm the total price, and accept payment.

We deliver the licence, instructions and agreed guided setup in the timeframe stated in that confirmation. Compatibility depends on the customer environment and third-party AI client.

4. Customer responsibility

Customers must provide accurate system information, lawful device access, backups, credential security, permission review and appropriate testing.

After handover, the customer controls stored content, AI-client exposure, outputs and connected-agent actions. LPJ is not responsible for unlawful use, third-party AI behaviour, unauthorised modification or use outside documentation, except where liability cannot lawfully be excluded.

5. Refunds and consumer rights

Both plans include a 14-day no-questions-asked refund of the initial payment from the contract date, even where installation has begun. This promise is additional to mandatory Irish and EU consumer rights.

6. Liability

Engram is trial-stage. We do not promise uninterrupted or error-free operation, perfect recall, universal compatibility, or accurate AI output.

To the fullest lawful extent, LPJ is not liable for indirect or consequential loss, lost profits, business interruption, third-party AI-provider conduct, or customer-controlled use after handover. For business customers, aggregate order liability is limited to the amount paid for that order.

Nothing excludes fraud, fraudulent misrepresentation, death or personal injury caused by negligence, deliberate misconduct, or rights and remedies that law does not allow us to exclude.

7. Law and disputes

Irish law governs these terms. Consumers retain mandatory protections and jurisdiction rights where they live. Contact us first so we can try to resolve concerns promptly.
